Software escrow for vendors

Close the deal. Keep the source code.

Enterprise buyers won't sign until they're sure they can keep running without you. Escrow answers that without exposing your source code: a neutral third party holds it and releases it only on agreed conditions. The blocker becomes the deal-mover.

The problem

When the deal stalls on one clause.

The deal is good. The contract is ready. Then procurement, legal, or security says what they always say on a mission-critical purchase: we need escrow before we sign.

Now a closed deal waits on a process you don't own. Every day in limbo is revenue stuck in the pipeline and a risk the buyer cools. Underneath the clause is one question: what if you aren't there anymore? Software escrow for vendors answers it.

Deal flow

Blocker to mover.

Same clause, two outcomes. Escrow is what flips the requirement from the thing holding up signature to the thing that moves it.

Two vaults. One in a granite mountain.

Deposits are held in two physical, US-based vaults, one inside a granite mountain, monitored around the clock. The provider has to satisfy the people who approve the deal, and EscrowTech is the one their legal teams already recognize.

FAQ

Vendor escrow, answered.

The questions vendors ask most often about software escrow.

What is software escrow for vendors?

Software escrow for vendors is a way to answer an enterprise buyer's continuity requirement without handing over your source code. A neutral third party holds the code and the materials needed to rebuild the software, and releases them to the buyer only if a condition written into the agreement is met.

How does escrow help me close enterprise deals?

When procurement, legal, or security asks for escrow, you answer the day it comes up instead of negotiating for weeks. The clause that was holding up signature becomes the thing that moves the deal, because the buyer gets their continuity assurance and you keep control of your IP.

Will I have to hand over my source code?

No. Your source code is deposited with EscrowTech, a neutral third party, not with the buyer. It stays out of the buyer's hands and is released only on the release conditions you and the buyer agree to in advance.

How fast can escrow be set up before a deal?

Most agreements are drafted, reviewed, and signed in about two weeks. Escrow being the long pole in the deal is usually a provider problem, not an escrow problem, and we work with your buyer's counsel directly when it speeds things up.

Can the buyer access my source code any time?

No. The buyer can only access the deposit if a release condition written into the agreement is met, such as the vendor ceasing business or failing to support the software. Until then the code stays with the neutral third party.

Does escrow cover SaaS, or just source code?

Both. For source code, the deposit holds the code and what is needed to rebuild it. For SaaS, a useful deposit is broader: build instructions, deployment scripts, configuration, and dependencies, so the service can actually run again, not just be inspected.

Who drafts the escrow agreement?

EscrowTech's in-house counsel drafts the escrow agreement and stays neutral between the parties. It drafts the escrow agreement only, not the underlying commercial contract between you and your buyer.

How much does vendor escrow cost?

Pricing is custom to the deal: the structure, how many buyers it covers, and how far you choose to verify the deposit. Tell us about the deal and we will quote it, typically with a response in under four business hours.
