When and Why EscrowTech was Founded
EscrowTech is a privately held corporation founded in 1992 to provide Software Escrow Services. We also offer Intellectual Property and Technology Protection Services, such as trade secret and invention corroboration and copyright deposits.
EscrowTech was founded to provide sophisticated “state of the art” software escrows and intellectual property protection services to companies throughout the United States and internationally, who are serious about effective software escrow and intellectual property protection.
Expertise and Experience
With EscrowTech, you will deal with people who have the relevant legal, administrative and technical expertise and experience. EscrowTech has experts in computer law, business, and computer programming who have many years of real-world experience in intellectual property, licensing, software development and procurement, etc. They know how to communicate with lawyers, computer programmers, business professionals, and others. EscrowTech has intentionally positioned and staffed itself to be the choice of sophisticated clients looking for the substance and relevant expertise needed to structure the software escrow solutions desired by these clients.
Efficiency and Innovation
EscrowTech is eager and able to deliver value and efficiency. When asked by our clients, we gladly give advice and recommendations relating to software and technology escrows, e.g., defining “release conditions” and “permitted use” provisions, describing “deposit materials” and structuring special software escrow or intellectual property needs. We know how to help our clients get the job done. In particular, we are very pleased to work with our clients’ (and their customers’) lawyers and advisors. We have the legal and technical background needed to communicate with them. However, we do not act as lawyers, accountants or other professional advisors to our clients and we do not offer legal, accounting or other professional services. Clients should have their own legal counsel, accountants and professional advisors.
We are responsive and flexible. We have created different types of software escrows to meet the particular needs of our clients. Although these standard software escrow types cover most situations, we do not hesitate to customize or offer innovative solutions as needed by our clients. We accept not only software source code, but also other forms of technology and intellectual property, including development environments, documents, drawings, photographs, specifications, encryption keys, data, chip sets, products, prototypes, samples, etc. Our intellectual property and technology protection program can be applied to any and all technologies and industries.
State of the Art Facilities and Security
Our primary office is located in a modern data center building in the heart of a “high tech” park south of Salt Lake City. Deposit materials are submitted in duplicate sets by our clients to the EscrowTech office. One set of deposit materials is stored under lock and key in a confidential and electronically monitored location within the data center. A second set of deposit materials (the primary set) is stored at the Perpetual Storage Vault in a storage area and containers dedicated to EscrowTech and its clients. Clients are welcome to visit us at our offices to review security facilities and measures. However, for the protection of all of our clients, some security measures and details are confidential and cannot be disclosed and access to secure areas is off-limits to visitors.
Client Information
Most of EscrowTech’s clients are U.S. companies ranging in size from small start-ups to many nationally known Fortune 500 companies. These companies are based in all regions of the country. We also have clients in Canada, Europe and South America. We are planning to expand our client base into the Pacific Rim and other geographic areas. References are provided upon request.
